INDEPENDENT AFFILIATE AGREEMENT**

Important Notice:
This Affiliate Agreement is written in English (United States). Any translations are provided for convenience only. In the event of any inconsistency, the English version shall control.

1. AGREEMENT & ACCEPTANCE

This Independent Affiliate Agreement (“Agreement”) is entered into between Quantum Lifestyle LLC, a West Virginia limited liability company (“Company,” “Quantum Lifestyle,” “we,” “us,” or “our”), and you (“Affiliate,” “you,” or “your”).

By:

  • registering as an Affiliate,

  • accessing the Affiliate Back Office,

  • participating in the compensation plan, or

  • checking the box indicating acceptance,

you acknowledge that you have read, understood, and agree to be legally bound by:

  • this Affiliate Agreement,

  • the Compensation Plan,

  • Policies & Procedures,

  • Privacy Policy, and

  • any other referenced or incorporated documents (collectively, the “Agreements”).

If you do not agree, do not enroll or participate.

2. ELIGIBILITY & LEGAL STATUS

  • You must be at least 18 years old (or the age of majority in your jurisdiction).

  • You affirm that participation is lawful in your country, state, or province.

  • You participate as an independent contractor, not an employee, partner, franchisee, or agent.

Nothing in this Agreement creates:

  • an employment relationship

  • a joint venture

  • a partnership

  • a franchise

You have no authority to bind the Company.

3. AFFILIATE RESPONSIBILITIES

As an Affiliate, you agree to:

  • Conduct business ethically, honestly, and lawfully

  • Comply with all applicable laws, including:

    • U.S. Federal Trade Commission (FTC) regulations

    • U.S. Food and Drug Administration (FDA) regulations

    • European Union consumer protection and data protection laws (including GDPR)

    • Advertising, MLM, and consumer protection laws in your jurisdiction

  • Accurately represent Quantum Lifestyle products, services, and the affiliate opportunity

  • Use only Company-approved marketing materials, disclosures, and claims

Affiliate Compliance With Company Policies & Procedures

By enrolling and participating as an Independent Affiliate, you expressly agree to comply with all current and future policies, procedures, rules, codes of conduct, compliance standards, and guidelines established by Quantum Lifestyle LLC (collectively, the “Policies”), including but not limited to those governing marketing and advertising practices, product and health representations, income and earnings disclosures, ethical conduct, data protection, and use of Company intellectual property.

Quantum Lifestyle LLC reserves the right, in its sole discretion, to amend, update, or modify its Policies at any time to maintain legal, regulatory, or operational compliance. You agree that continued participation as an Affiliate after notice of any policy change constitutes acceptance of the revised Policies, and that failure to comply may result in disciplinary action, up to and including suspension or termination of your Affiliate account.

4. FDA & HEALTH COMPLIANCE (CRITICAL)
No Medical or Health Claims

You expressly agree that you will NOT:

  • Make claims that products:

    • diagnose

    • treat

    • cure

    • mitigate

    • prevent
      any disease or medical condition

  • Represent products as FDA-approved or clinically proven

  • Provide medical, therapeutic, or professional advice

Quantum Lifestyle products and technologies have NOT been evaluated by the U.S. Food and Drug Administration (FDA).

All product information is for educational and lifestyle purposes only.

5. FTC & EARNINGS COMPLIANCE (CRITICAL)
No Income Guarantees

You agree that you will NOT:

  • Guarantee income

  • Represent earnings as typical

  • Promote “financial freedom,” “passive income,” or similar claims without proper disclosures

  • Use lifestyle imagery implying guaranteed success

Required Disclosures

Any earnings or lifestyle references must clearly disclose that:

  • Results vary

  • There is no guaranteed income

  • Testimonials reflect individual experiences only

Participation involves entrepreneurial risk.

6. MARKETING, ADVERTISING & ONLINE CONDUCT

Affiliates may NOT:

  • Create unauthorized websites, domains, or social media pages using Company trademarks

  • Run paid ads using Company trademarks without written permission

  • Spam, cold-message, or use deceptive practices

  • Make false or misleading claims (health, income, lifestyle, or product efficacy)

The Company reserves the right to require immediate removal of non-compliant content.

7. COMPENSATION & TAX RESPONSIBILITY

  • Compensation is governed solely by the official Compensation Plan

  • Earnings are not guaranteed

  • You are solely responsible for:

    • all taxes

    • reporting income

    • regulatory filings in your jurisdiction

The Company does not provide tax or legal advice.

8. EU, UK, & INTERNATIONAL AFFILIATES

If you reside in the EU, UK, Switzerland, or other regulated jurisdictions, you acknowledge that:

  • Quantum Lifestyle operates from the United States

  • Your personal data is processed in accordance with:

    • GDPR

    • applicable data protection laws

  • Nothing in this Agreement limits mandatory consumer rights

You are responsible for understanding and complying with local MLM and consumer laws.

9. INTELLECTUAL PROPERTY

All trademarks, product names, logos, training materials, content, and technology are the exclusive property of Quantum Lifestyle LLC.

Affiliates receive a limited, revocable, non-transferable license to use approved materials only while in good standing.

No ownership rights are granted.

10. CONFIDENTIALITY

Affiliate back-office data, genealogy, reports, training materials, and internal documents are confidential.

You may not:

  • sell

  • share

  • copy

  • misuse

any confidential information during or after termination.

11. TERM, SUSPENSION & TERMINATION

This Agreement remains in effect until terminated.

The Company may:

  • suspend

  • restrict

  • terminate

your Affiliate account immediately for:

  • violations of this Agreement

  • regulatory risk

  • unlawful or deceptive conduct

  • non-compliance with policies

Upon termination:

  • all licenses end

  • you must cease representing the Company

  • post-termination obligations survive

12. DISCLAIMER OF WARRANTIES

THE OPPORTUNITY, PRODUCTS, SERVICES, AND COMPENSATION PLAN ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTUM LIFESTYLE LLC SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES

  • CONSEQUENTIAL DAMAGES

  • LOSS OF PROFITS

  • LOSS OF BUSINESS

Nothing herein limits liability that cannot legally be excluded.

14. INDEMNIFICATION

You agree to indemnify and hold harmless Quantum Lifestyle LLC from any claims, damages, fines, or legal actions arising from:

  • your representations

  • your marketing activities

  • your violation of laws or this Agreement

15. GOVERNING LAW & JURISDICTION

Except where prohibited by law:

  • Governing Law: State of West Virginia, USA

  • Venue: Courts located in West Virginia

EU consumers may bring claims in their country of residence where required.

16. SEVERABILITY & ENTIRE AGREEMENT

If any provision is held unenforceable, the remainder remains in effect.

This Agreement constitutes the entire agreement between you and the Company regarding affiliate participation.
